TSX Venture Exchange senior listings manager Ashley Ainsley has jumped to Cozen O’Connor as a counsel.

Ainsley has commenced with Cozen O’Connor’s global corporate practice, practising from Vancouver. She will advise on exchange filings and the end-to-end "go public" process.

She will guide clients through complex exchange policies, aid in structuring public transactions from a regulatory perspective, and tackle complicated corporate and commercial matters. She will also work with the firm to streamline compliance and filing strategies.

Ainsley’s practice will concentrate on securities law and capital markets transactions. She brings her experience handling public company matters, stock exchange listings, and regulatory compliance

“Many of our clients in Western Canada are mining entities that go to the exchange seeking capital to advance their exploration, development, and product pipelines. Over the past decade, Ashley has cultivated strong and ongoing professional relationships with a diverse range of important international capital markets stakeholders. That makes her a valuable legal resource for both the firm and our clients,” said Kathy Tang, Cozen O’Connor’s Vancouver office managing partner, in a statement.

In a legal career spanning over 10 years, Ainsley has logged stints with Miller Thomson LLP, Schulte Roth & Zabel LLP, Clifford Chance, and Mallesons Stephen Jaques. She has worked in Shanghai, London, and São Paulo, according to LinkedIn.

She has acted for global issuers and underwriters on business-critical public and private securities offerings. Moreover, she tackled complex legal, tax, and regulatory issues affecting investment funds’ establishment and operation on behalf of UK and international investment fund managers.

She started with TMX Group in November 2021 as senior listings manager – listed issuer services (TSX Venture). In this role, she guided enterprise-level clients on various listing applications, initial public offerings, reverse takeovers, and complex public mergers and acquisitions transactions.

Ainsley assisted public and listed companies with reviewing listing applications and transaction proposals to ensure securities law and exchange policy compliance.

“The TSX Venture Exchange serves as a public venture capital marketplace for emerging companies, primarily those with smaller market capitalizations that do not meet the requirements of larger exchanges, like the Toronto Stock Exchange. Ashley’s background — her ability to provide high-level guidance on exchange policies and positions of interpretation — will help our clients secure the financial resources needed to move their business forward,” said Larry P. Laubach, who co-chairs Cozen O’Connor’s corporate practice group.
